These Terms of Use ("Terms") constitute a legally binding contract between you (the "User", "Professional", or "Syndicator") and Lead Flier Media ("Company", "we", "us"). By accessing leadfliermedia.com or utilizing our services to download or distribute content, you acknowledge that you have read, understood, and unequivocally agree to be bound by these Terms, alongside our Privacy Policy, Cookie Policy, and any jurisdiction-specific addenda (e.g., GDPR, CCPA). 2. Platform Description and Scope of Services

• For Syndicators/Sponsors: A distribution engine to host, market, and syndicate brand-authored content to our audience in order to generate Marketing Qualified Leads (MQLs).

3. User Accounts, Credentials, and Security

While portions of the site may be browsed anonymously, accessing gated Content or utilizing syndication services requires the creation of an account. You represent and warrant that all information provided during registration is accurate, current, and pertains to your genuine professional identity. You are strictly prohibited from using aliases, disposable email addresses, or impersonating third parties. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Intellectual Property and Content Rights

By downloading Content from ContentClik, you are granted a limited, non-exclusive, non-transferable, and revocable license to use the Content for personal, professional, and internal business evaluation purposes. You are expressly prohibited from reproducing, scraping, republishing, reselling, or commercially exploiting any Content without explicit written authorization from the copyright holder.

Brands syndicating content grant ContentClik a worldwide, royalty-free, sublicensable license to host, display, promote, and distribute the submitted Content across our network for the purpose of lead generation.

5. Acceptable Use Policy

You agree to utilize ContentClik exclusively for lawful, professional purposes. The following activities are strictly prohibited:

• Deploying automated scripts, spiders, scrapers, or bots to harvest data, content, or user information from the platform.
• Attempting to circumvent, disable, or otherwise interfere with security-related features of the site, including rate limiting and access controls.
• Providing false, misleading, or fraudulent contact information in lead capture forms with the intent of bypassing our lead generation mechanisms.
• Using the platform to distribute malware, unsolicited promotional materials, or engaging in any activity that disproportionately burdens our infrastructure.

Violation of these rules will result in immediate account termination and potential legal action, including claims for damages.

6. Lead Generation and Consent

By filling out a form to access gated Content, you understand that ContentClik's core business model involves lead generation. You explicitly consent to the transfer of the professional data you provide (e.g., name, email, company, job title) to the specific sponsor or author of that Content. You acknowledge that the sponsor may subsequently contact you regarding their products, services, or related insights. Any subsequent relationship, communication, or transaction between you and the sponsor is strictly between you and the sponsor; ContentClik disclaims all liability arising from such interactions.

7. Disclaimer of Warranties

The platform and all associated content are provided on a strictly "AS IS" and "AS AVAILABLE" basis. Lead Flier Media makes no representations or warranties of any kind, express or implied, regarding the accuracy, reliability, completeness, or timeliness of the Content provided by third-party sponsors. We do not warrant that the platform will operate error-free, securely, or without interruptions. All implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, are expressly disclaimed to the fullest extent permitted by law.

8. Limitation of Liability

You agree to defend, indemnify, and hold harmless Lead Flier Media and its licensees, licensors, employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the platform, or b) a breach of these Terms.

10. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any dispute arising from these Terms or the use of ContentClik shall be subject to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California. You agree to submit to the personal jurisdiction of such courts.

11. Severability and Waiver

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
